Terms of Service

1. Agreement to Terms
By submitting an application, subscribing to a service plan, or using any services provided by Hambry Media ("Company," "we," "us," or "our") through the Hambry Engine platform ("Service"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a binding agreement between you and Hambry Media. By completing the checkout process and providing payment, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Description of Services
Hambry Engine is a fully managed content production and publishing service. We provide:
- A branded content website hosted on a custom domain
- Ongoing content production published to your site on a daily basis
- Search engine optimization for all published content
- Image production for all published content
- Analytics and performance reporting
- Newsletter and subscriber management infrastructure
- Hosting, security, and technical management
- Ongoing platform updates and optimization
The Service is fully managed. You do not receive direct access to backend systems, content management interfaces, or administrative tools. All configuration, content production, and technical management is performed by Hambry Media on your behalf.
3. Service Plans and Pricing
The Service is offered in the following subscription tiers:

A one-time setup fee of $500 applies to all new accounts. This fee covers domain registration, site configuration, brand setup, editorial calibration, and initial content optimization. The setup fee may be waived at the Company's sole discretion.
Prices are in United States Dollars (USD). All fees are exclusive of applicable taxes, which will be added where required by law.
We reserve the right to modify pricing with 30 days' written notice. Price changes do not apply to the current billing cycle.
4. Application and Approval
Access to the Service requires submission of an application and approval by Hambry Media. We review all applications and reserve the right to accept or decline any applicant at our sole discretion. Submission of an application does not guarantee acceptance.
We may decline applications for any reason, including but not limited to: industries or content topics that conflict with our editorial standards, insufficient information provided in the application, or capacity constraints.
5. Billing and Payment
5.1 Subscription Billing
Subscriptions are billed monthly in advance. Your first payment includes the setup fee (if applicable) plus the first month's subscription fee. Subsequent payments are charged on the same date each month.
5.2 Payment Methods
We accept major credit cards and debit cards processed through our payment provider (currently Stripe). You authorize us to charge your provided payment method for all fees associated with your subscription.
5.3 Failed Payments
If a payment fails, we will attempt to process the charge up to three additional times over a 10-day period. If all attempts fail, your subscription will be suspended and content production will pause. Your site will remain online for 30 days after suspension. If payment is not resolved within 30 days of suspension, we reserve the right to terminate the account.
5.4 No Refunds
All fees are non-refundable. This includes the setup fee, monthly subscription fees, and any partial-month charges. You may cancel your subscription at any time, but no refund will be issued for the remaining portion of the current billing cycle.
6. Content and Intellectual Property
6.1 Content Ownership
All content produced by the Service and published to your branded website is owned by you upon publication. You have full rights to use, reproduce, distribute, and modify the content without restriction.
6.2 Platform Ownership
The underlying technology, systems, processes, and methodologies used to produce and deliver the Service are and remain the exclusive property of Hambry Media. Your subscription grants you a license to receive the output of the Service (published content) but does not grant any rights to the Service's technology, infrastructure, or proprietary methods.
6.3 Brand Assets
You grant Hambry Media a non-exclusive license to use your brand name, logo, colors, and other brand assets solely for the purpose of configuring and operating your branded content site. This license terminates upon termination of the Service.
6.4 "Powered By" Attribution
Your site will include a "Powered by Hambry Engine" link in the footer. This attribution link is a standard part of all service plans and may not be removed without written agreement from Hambry Media.
7. Client Responsibilities
You agree to:
- Provide accurate and complete information in your application and during the setup process
- Respond to requests for brand assets, editorial direction, and feedback in a timely manner
- Notify us promptly of any changes to your brand, business, or content strategy that may affect the Service
- Maintain a valid payment method on file at all times
- Not attempt to reverse-engineer, replicate, or extract the technology or processes underlying the Service
- Not use the Service for any illegal, fraudulent, or harmful purpose
8. Content Standards
All content produced by the Service adheres to the following standards:
- Content is original and not plagiarized from other sources
- Content does not contain hate speech, discriminatory language, or incitement to violence
- Content does not knowingly contain false or misleading information presented as fact
- Content is written in alignment with the editorial direction agreed upon during the setup process
You may request content adjustments, topic changes, or editorial direction modifications at any time by contacting your account manager. We will make reasonable efforts to accommodate such requests.
We reserve the right to decline content requests that violate our editorial standards or legal obligations.
9. Service Level
We make commercially reasonable efforts to maintain your site's availability and produce content at the volume specified by your plan. However, we do not guarantee:
- Specific search engine rankings or traffic volumes
- Uninterrupted availability of your site (maintenance windows, hosting provider issues, or force majeure events may cause temporary downtime)
- A specific number of published articles on any given day (daily production targets are approximate and may vary based on source material availability and quality standards)
We target a monthly content delivery rate consistent with your plan's page allocation. If we consistently underdeliver against your plan's volume, you may request a plan adjustment or credit by contacting your account manager.
10. Term and Termination
10.1 Subscription Term
Subscriptions are month-to-month. There is no minimum commitment period beyond the current billing cycle.
10.2 Cancellation by Client
You may cancel your subscription at any time by providing written notice to your account manager or by emailing [email protected]. Cancellation takes effect at the end of the current billing cycle. No refund is issued for the remaining portion of the cycle.
10.3 Termination by Company
We may terminate your subscription immediately if:
- You breach these Terms and fail to cure the breach within 14 days of written notice
- Your payment fails and is not resolved within 30 days
- You use the Service for illegal or harmful purposes
- Continuing the Service would violate applicable law
10.4 Effect of Termination
Upon termination:
- Content production ceases immediately
- Your site will remain online in a read-only state for 30 days to allow you to archive your content
- We will provide a full export of all published content (article text and images) upon request within 30 days of termination
- After the 30-day period, the site and all associated data will be permanently deleted
- The domain, if registered by us on your behalf, will be transferred to you upon request
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAMBRY MEDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, ACHIEVE PARTICULAR RESULTS, OR OPERATE WITHOUT INTERRUPTION OR ERROR.
13. Indemnification
You agree to indemnify and hold harmless Hambry Media, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your breach of these Terms
- Your use of the Service
- Any content or brand materials you provide to us
- Any claim that your brand assets infringe upon the rights of a third party
14. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the Service relationship. This includes but is not limited to: business strategies, pricing discussions, technical details, and performance data.
You agree not to disclose the specific terms of your subscription, including any waived fees or custom arrangements, to third parties without our written consent.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to active subscribers via email at least 30 days before they take effect. Continued use of the Service after the effective date of modified Terms constitutes acceptance of the changes.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with any order confirmation or subscription agreement, constitute the entire agreement between you and Hambry Media regarding the Service and supersede all prior agreements and understandings.
